Effective 23 September 2026 · Version 1.0
These Terms of Service (the “Terms”) constitute a binding agreement between Mono Digital LLC, an Ohio limited liability company doing business as SimplyRamp (“SimplyRamp”), and the person or entity accessing or using the Services (“User”). By registering for an account, accessing the Platform, or submitting any instruction through the Services, User accepts these Terms and represents that User has the capacity and authority to do so. Capitalised terms have the meanings given in Section 1.
NOTICE. SIMPLYRAMP IS A TECHNOLOGY PROVIDER AND IS NOT A BANK, MONEY TRANSMITTER, MONEY SERVICES BUSINESS, BROKER-DEALER, EXCHANGE, INVESTMENT ADVISER, OR CUSTODIAN. SIMPLYRAMP HOLDS NO MONEY TRANSMITTER LICENCE, BANKING CHARTER, OR OTHER FINANCIAL SERVICES AUTHORISATION, AND MAKES NO REPRESENTATION TO THE CONTRARY.
SIMPLYRAMP DOES NOT AT ANY TIME TAKE CUSTODY OR CONTROL OF USER FUNDS OR DIGITAL ASSETS. All Regulated Activity is performed by one or more Providers pursuant to their own agreements with User. The Platform transmits instructions to such Providers; it does not itself hold, transmit, or settle funds.
1.1 “Applicable Law” means all statutes, regulations, rules, orders, and governmental requirements applicable to a party or to the Services, including those relating to anti-money laundering, countering the financing of terrorism, and economic sanctions.
1.2 “Digital Asset” means a cryptographically secured digital representation of value recorded on a Network, including any stablecoin supported by the Services.
1.3 “External Wallet” means a blockchain address controlled by User or by a third party designated by User, and not by SimplyRamp.
1.4 “Network” means a public distributed ledger on which a Digital Asset is recorded or settled.
1.5 “Platform” means SimplyRamp’s website, application, and application programming interfaces.
1.6 “Provider” means any third party engaged by SimplyRamp or by User to perform Regulated Activity or to support the Services, including any licensed money transmitter, financial institution, bank-linking provider, or identity verification provider.
1.7 “Regulated Activity” means the receipt, holding, transmission, exchange, or settlement of funds or Digital Assets, the issuance or redemption of stablecoin, the provision of deposit accounts, and the performance of customer identification and verification.
1.8 “Services” means the Platform and all related software, interfaces, records, and support made available by SimplyRamp.
1.9 “Transaction Instruction” means any instruction submitted by User through the Platform for the conversion or transfer of funds or Digital Assets.
2.1 SimplyRamp provides software that enables User to submit Transaction Instructions to Providers and to review the status and history of such instructions. SimplyRamp acts solely as a technology provider.
2.2 SimplyRamp does not perform Regulated Activity. SimplyRamp does not hold User funds or Digital Assets, does not issue or redeem stablecoin, does not operate deposit accounts, and does not execute payments. Each such function is performed by a Provider.
2.3 No part of the Services constitutes investment, tax, accounting, or legal advice, and no content made available through the Platform constitutes a recommendation to acquire, hold, or dispose of any Digital Asset.
2.4 For the avoidance of doubt, SimplyRamp is not a party to any payment transaction executed by a Provider and assumes no obligation to complete, guarantee, or reverse any such transaction.
3.1 Regulated Activity is performed exclusively by Providers holding the licences and authorisations required for that activity. SimplyRamp selects and contracts with Providers in its sole discretion and does not identify them in these Terms.
| Licensed money transmitter | Performs customer identification and verification, holds funds, operates the accounts to and from which fiat currency is paid, issues and redeems stablecoin, and executes payment transactions. |
|---|---|
| Financial institutions | Hold deposits and originate and receive payments on the ACH, RTP, and wire networks. Such institutions are selected by the applicable Provider and not by SimplyRamp. |
| Bank-linking provider | Establishes connectivity to User’s external bank account. Such provider’s own terms and privacy policy govern that connection and are presented to User at the time of linking. |
| Networks | Settle on-chain transfers. Networks are decentralised, are not operated or controlled by SimplyRamp or any Provider, and are not subject to instruction, reversal, or acceleration by any party. |
3.2 User may be required to accept a Provider’s own agreement as a condition of using the Services. Such agreement governs the relationship between User and that Provider. In the event of a conflict between these Terms and a Provider agreement with respect to Regulated Activity, the Provider agreement controls as between User and that Provider.
3.3 SimplyRamp may add, replace, or cease using any Provider at any time and without notice. The Services may be suspended, reduced, or discontinued in whole or in part in connection with any such change, or where a Provider suspends or terminates its relationship with SimplyRamp or with User.
3.4 SimplyRamp is responsible for the performance of its own software only. SimplyRamp shall have no liability for the acts, omissions, delays, errors, insolvency, unavailability, or determinations of any Provider, financial institution, or Network, including any determination to decline, delay, return, freeze, or reverse a transaction, or to decline, suspend, or withdraw verification of User.
4.1 User must be at least eighteen (18) years of age and legally competent to enter into these Terms. Where User is an entity, the individual accepting these Terms represents and warrants that such individual is authorised to bind the entity, and “User” means that entity.
4.2 Access to transaction functionality is conditioned upon completion of customer identification and verification procedures, comprising know-your-customer procedures for individuals and know-your-business procedures for entities. Such procedures are performed by a Provider, and information submitted by User for that purpose is transmitted to the Provider.
4.3 Verification determinations are made by the Provider in its sole discretion. A Provider may decline verification without stating a reason, require additional documentation, or withdraw verification previously granted. SimplyRamp has no authority to review, reverse, or override any such determination, and makes no representation that any application will be approved.
4.4 Availability of the Services is limited to jurisdictions in which the applicable Providers are authorised to operate, which varies by country and, within the United States, by state, and which is subject to change. SimplyRamp may decline to provide, or may discontinue, the Services to any person or in any jurisdiction at any time.
4.5 User represents and warrants that all information furnished to SimplyRamp or to any Provider is true, accurate, current, and complete, that it relates to User or to an entity User is authorised to represent, and that User shall maintain such information in that condition.
5.1 Fiat-to-Digital-Asset Conversion. At User’s request, SimplyRamp may instruct a Provider to make available an account, held in the name of the Provider or of SimplyRamp and not in the name of User, for the receipt of fiat currency. Upon receipt of funds in such account, stablecoin is issued and transmitted to an External Wallet designated by User. Account details made available to User are provided solely for funding Transaction Instructions and confer no ownership interest in the account.
5.2 Digital-Asset-to-Fiat Conversion. At User’s request, SimplyRamp may instruct a Provider to make available a blockchain address for the receipt of Digital Assets. Upon receipt and confirmation, such Digital Assets are redeemed for fiat currency and remitted to a bank account designated and verified by User. Only the Digital Asset and Network identified for that address are supported.
5.3 SimplyRamp and its Providers may impose minimum and maximum transaction amounts, velocity limits, and holds pending review. Amounts below the applicable minimum shall be retained by the Provider and aggregated with subsequent receipts until the minimum is satisfied.
5.4 SimplyRamp does not guarantee that any Transaction Instruction will be accepted, executed, or completed.
6.1 SimplyRamp does not at any time hold, control, or take custody of User funds or Digital Assets, holds no customer balances, and operates no account that receives customer funds for transmission.
6.2 Funds in transit are held by a Provider pursuant to its agreement with User. Digital Assets transmitted to an External Wallet are controlled exclusively by the holder of the associated private keys. SimplyRamp cannot freeze, seize, recover, or transfer Digital Assets held in an External Wallet, whether on its own initiative or at the direction of any third party.
6.3 Funds held by a Provider are not deposits with SimplyRamp, are not obligations of SimplyRamp, and are not insured by SimplyRamp. The availability and terms of any deposit insurance at a Provider or its financial institution are governed by that Provider’s agreements and by Applicable Law. Digital Assets, including stablecoin, are not deposits and are not insured by the Federal Deposit Insurance Corporation, the Securities Investor Protection Corporation, or any comparable body.
7.1 User is solely responsible for the accuracy and completeness of each Transaction Instruction, including blockchain addresses, bank account and routing numbers, the Digital Asset, and the Network. SimplyRamp transmits such information as submitted and is under no obligation to verify it.
7.2 Transactions recorded on a Network are final and irreversible. Digital Assets transmitted to an incorrect address, or transmitted on a Network other than the Network identified for the receiving address, are irretrievably lost. Neither SimplyRamp nor any Provider is able to recover such Digital Assets, and SimplyRamp shall have no liability in respect of any such loss.
7.3 Payments transmitted to a bank account may be recalled only with the consent of the receiving institution and may be irrecoverable. SimplyRamp shall have no liability for funds remitted in accordance with bank details furnished by User.
7.4 Any machine-readable representation of an address made available through the Services is generated from the address displayed alongside it. User shall verify the destination displayed by User’s wallet software before authorising a transfer.
8.1 All settlement and arrival times indicated through the Services are estimates and do not constitute a representation, warranty, or guarantee of performance.
8.2 Without limitation: (a) ACH and wire payments settle on banking days only and are subject to bank holidays and processing cut-off times; (b) RTP payments require the receiving institution’s participation in the RTP network; (c) on-chain deposits are subject to confirmation by the applicable Network; and (d) any transaction may be delayed, returned, or declined by a receiving institution or as a result of compliance review.
8.3 Providers establish their own cut-off times and processing windows and may amend them without notice to User.
9.1 Fees payable to SimplyRamp are disclosed through the Platform prior to the establishment of a transaction route and on documents generated by the Services. Fees generally comprise an ad valorem component and a fixed component that varies by payment rail.
9.2 Fees are deducted from the transaction amount rather than invoiced separately. User authorises such deduction.
9.3 Fees may vary between users and may be amended upon notice to User. No amendment applies to a transaction already in progress at the time the amendment takes effect.
9.4 Network fees, fees imposed by a Provider or financial institution, and fees charged to User by User’s own bank or wallet provider are borne solely by User and are not refundable by SimplyRamp.
10.1 SimplyRamp and its Providers are subject to obligations under Applicable Law, including customer due diligence, transaction monitoring, and sanctions screening.
10.2 SimplyRamp and its Providers may delay, hold, refuse, return, or reverse any transaction, and may suspend or terminate access to the Services, where necessary to comply with Applicable Law or with a Provider’s requirements. SimplyRamp may be prohibited by Applicable Law from disclosing the reason for any such action.
10.3 SimplyRamp may report activity and disclose User information to Providers, regulators, and law enforcement authorities as required or permitted by Applicable Law.
10.4 User represents and warrants that User is not, and is not acting for the benefit of, any person subject to economic sanctions, and that all funds and Digital Assets submitted through the Services are lawfully owned by User and are not the proceeds of unlawful activity.
11.1 User shall not use the Services:
11.2 Providers maintain restricted-business policies that apply to User in addition to this Section and that may be more restrictive.
12.1 User is responsible for maintaining the confidentiality of User’s credentials and the security of the email account associated with the Services, and is responsible for all activity occurring under User’s account. User shall notify SimplyRamp promptly at support@simplyramp.com upon becoming aware of any unauthorised access.
12.2 User is solely responsible for the security of External Wallets and private keys. SimplyRamp cannot recover private keys or seed phrases and shall never request them, nor request User’s password, nor direct User to transmit funds to any address other than one displayed within the Platform.
13.1 The Services are provided on an as-available basis. SimplyRamp does not warrant uninterrupted or error-free operation and may suspend the Services for maintenance or modify or discontinue any feature at any time.
13.2 SimplyRamp may amend these Terms. Where an amendment is material, SimplyRamp shall provide notice by email or through the Platform prior to the effective date. Continued use of the Services following the effective date constitutes acceptance of the amended Terms. The version and effective date appearing at the head of this document identify the operative version.
14.1 SimplyRamp collects and processes information as necessary to provide the Services and to comply with Applicable Law.
14.2 Identity information submitted for verification, including government-issued identification numbers, is transmitted to the applicable Provider and is not retained on SimplyRamp’s systems.
14.3 SimplyRamp discloses information to Providers to the extent necessary for verification, execution of Transaction Instructions, and the Providers’ own regulatory obligations, and to regulators and law enforcement authorities where required by Applicable Law. SimplyRamp does not sell personal information.
15.1 As between the parties, SimplyRamp retains all right, title, and interest in and to the Services, including all software, documentation, and trademarks. Subject to these Terms, SimplyRamp grants User a limited, revocable, non-exclusive, non-transferable licence to access and use the Services for User’s internal business or personal purposes.
15.2 User retains all right, title, and interest in data submitted by User. User grants SimplyRamp a licence to use such data as necessary to provide the Services and to comply with Applicable Law.
15.3 SimplyRamp may use feedback and suggestions provided by User without restriction or obligation.
16.1 The services are provided “as is” and “as available” without warranty of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
16.2 SimplyRamp does not warrant that the Services will meet User’s requirements, that access will be uninterrupted or secure, that any transaction will settle within any period, or that any Provider, financial institution, or Network will perform as anticipated.
16.3 User acknowledges that Digital Assets involve risk, including the risk of total loss; that stablecoins may fail to maintain their stated value; and that Networks may experience congestion, forks, reorganisations, or failure. User assumes those risks.
17.1 To the maximum extent permitted by Applicable Law, SimplyRamp shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, however caused and under any theory of liability, whether or not SimplyRamp has been advised of the possibility of such damages.
17.2 To the maximum extent permitted by Applicable Law, the aggregate liability of SimplyRamp arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the fees paid by User to SimplyRamp during the three (3) months preceding the event giving rise to the claim and (b) one hundred United States dollars (US$100).
17.3 SimplyRamp shall not be liable for any loss arising from circumstances beyond its reasonable control, including the acts, omissions, delays, errors, insolvency, or security failures of any Provider, financial institution, or Network, or from inaccurate information furnished by User.
17.4 Certain jurisdictions do not permit the exclusion or limitation of certain damages; in such jurisdictions the foregoing applies to the maximum extent permitted. Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud.
18.1 User shall indemnify, defend, and hold harmless SimplyRamp, its affiliates, officers, directors, employees, and Providers from and against any claim, demand, loss, liability, fine, penalty, or expense, including reasonable attorneys’ fees, arising out of or relating to User’s use of the Services, User’s breach of these Terms, User’s violation of Applicable Law, or User’s infringement of the rights of any third party.
19.1 User may discontinue use of the Services at any time and may request closure of User’s account.
19.2 SimplyRamp may suspend or terminate User’s access at any time, with or without notice, including where required by a Provider or by Applicable Law or where SimplyRamp reasonably suspects a breach of these Terms.
19.3 Termination does not affect transactions in progress, which shall be completed or returned in accordance with the applicable Provider’s procedures. SimplyRamp shall retain records for the period required by Applicable Law.
19.4 Sections 6, 7, 9 (as to fees accrued), 14 through 18, 20, and 21 survive termination.
20.1 These Terms are governed by the laws of the State of Ohio, without regard to its conflict of laws principles.
20.2 The parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Ohio and waive any objection to venue in those courts.
20.3 Prior to commencing proceedings, the parties shall endeavour in good faith to resolve any dispute by notice to support@simplyramp.com.
21.1 Entire Agreement. These Terms, together with any Provider agreement accepted by User, constitute the entire agreement between the parties with respect to the Services and supersede all prior understandings.
21.2 Severability. If any provision is held unenforceable, it shall be modified to the minimum extent necessary and the remaining provisions shall remain in full force.
21.3 No Waiver. No failure or delay in exercising any right constitutes a waiver of it.
21.4 Assignment. User may not assign these Terms without SimplyRamp’s prior written consent. SimplyRamp may assign these Terms to an affiliate or in connection with a merger, reorganisation, or sale of assets.
21.5 Third-Party Beneficiaries. There are no third-party beneficiaries to these Terms, save that Providers may rely upon the disclaimers, limitations, and indemnities expressed in their favour.
